1. General Provisions
1.1. This document constitutes the official public offer (hereinafter referred to as the "Offer") of [Company Name LLC] (hereinafter referred to as the "Company") to enter into an agreement for the provision of educational consulting services on the terms set forth herein.
1.2. In accordance with the Civil Code of the Republic of Uzbekistan, this document is a public offer, and in case of acceptance of the conditions set forth below, the individual or legal entity accepting this offer becomes the Client (acceptance of the offer is equivalent to concluding an agreement on the terms set forth in the offer).
1.3. Full and unconditional acceptance of this Offer is considered to be the Client's payment for the Company's services in accordance with the terms of this Agreement.
1.4. By accepting the terms of this Offer, the Client confirms that they have fully read and understood all terms and conditions and agree to them.
2. Terms and Definitions
2.1. Company - [Company Name LLC], a legal entity registered under the laws of the Republic of Uzbekistan, providing educational consulting services.
2.2. Client - an individual or legal entity who has accepted this Offer by paying for the Company's services.
2.3. Student - an individual on whose behalf the Client is seeking educational consulting services.
2.4. Services - educational consulting services provided by the Company, including but not limited to university selection assistance, application preparation, visa support, and related services.
2.5. Foundation Year Program - a preparatory academic program designed to bridge the gap between secondary education and university degree programs.
2.6. Partner Institution - universities and educational institutions with which the Company has established cooperation agreements.
3. Subject of the Agreement
3.1. Under this Agreement, the Company undertakes to provide the Client with educational consulting services in accordance with the selected service package, and the Client undertakes to pay for these services in accordance with the terms of this Agreement.
3.2. The specific scope of services is determined based on the service package selected by the Client and specified in the individual agreement or invoice.
3.3. The Company does not guarantee admission to any specific university, as the final admission decision rests with the educational institution. However, the Company commits to providing professional guidance and support to maximize the Student's chances of successful admission.
4. Service Description
4.1. The Company provides the following categories of services:
- Educational consultation and university selection guidance
- Academic profile assessment and program recommendations
- Application document preparation and review
- Personal statement and motivation letter assistance
- University application submission and tracking
- Visa application support and guidance
- Pre-departure orientation and briefing
- Accommodation arrangement assistance
4.2. The specific services included in each package are detailed on the Company's website and in the individual service agreement.
4.3. Additional services not included in the selected package may be purchased separately at the rates specified by the Company.
5. Rights and Obligations of the Company
5.1. The Company undertakes to:
- Provide services in accordance with the terms of this Agreement and the selected service package
- Provide accurate and up-to-date information about educational programs and admission requirements
- Process applications and documents in a timely manner
- Maintain confidentiality of Client and Student personal information
- Inform the Client of any changes affecting the provision of services
- Provide support and guidance throughout the application process
5.2. The Company has the right to:
- Request additional documents or information necessary for service provision
- Refuse services if the Client provides false or misleading information
- Modify service packages and pricing with advance notice
- Suspend services in case of non-payment by the Client
6. Rights and Obligations of the Client
6.1. The Client undertakes to:
- Provide accurate, complete, and truthful information about the Student
- Submit all required documents in a timely manner
- Pay for services in accordance with the agreed terms
- Respond promptly to Company inquiries and requests
- Comply with the requirements and deadlines set by educational institutions
- Inform the Company of any changes in circumstances affecting the application
6.2. The Client has the right to:
- Receive quality services in accordance with the selected package
- Request information about the progress of the application
- Receive consultations on matters related to the services provided
- Request changes to the service package (subject to availability and pricing)
7. Service Cost and Payment Terms
7.1. The cost of services is determined based on the selected service package and is specified in the invoice issued to the Client.
7.2. Payment may be made in the following ways:
- Full payment before the commencement of services
- Installment payments as agreed with the Company
- Phased payments linked to service milestones
7.3. Payment can be made by bank transfer, credit/debit card, or other methods specified by the Company.
7.4. Services commence upon receipt of the initial payment or deposit as specified in the invoice.
7.5. The Company reserves the right to adjust pricing with at least 30 days' notice. Price changes do not affect services already paid for.
8. Service Delivery Terms
8.1. Service delivery timelines depend on the selected package, university deadlines, and factors beyond the Company's control (such as visa processing times).
8.2. The Company will provide estimated timelines at the commencement of services, which may be adjusted based on circumstances.
8.3. The Client acknowledges that delays may occur due to:
- Incomplete or delayed document submission by the Client
- University processing times
- Embassy/visa processing times
- Force majeure circumstances
8.4. The Company is not liable for delays caused by factors outside its reasonable control.
9. Refund Policy
9.1. Refund requests are considered on a case-by-case basis and depend on the stage of service delivery.
9.2. Before application submission: If the Client cancels before any applications are submitted, the Company will refund the service fee minus a processing fee of [X]% for administrative costs.
9.3. After application submission: If the Client cancels after applications have been submitted, partial refunds may be available based on the services already rendered.
9.4. University rejection: If the Student is rejected by all applied universities despite meeting the stated requirements, the Company will:
- Offer alternative university placements at no additional charge, or
- Provide a partial refund as agreed on a case-by-case basis
9.5. Visa rejection: Visa application fees and third-party costs are non-refundable. The Company's service fee for visa support may be partially refunded if the visa is rejected due to circumstances not attributable to the Client.
9.6. Refund processing takes up to 30 business days from the approval of the refund request.
10. Limitation of Liability
10.1. The Company's liability is limited to the amount paid by the Client for services.
10.2. The Company is not liable for:
- Decisions made by universities regarding admission
- Decisions made by embassies or immigration authorities regarding visas
- Changes in university policies, immigration rules, or government regulations
- Losses resulting from false or incomplete information provided by the Client
- Indirect, consequential, or incidental damages
10.3. The Client acknowledges that the Company provides guidance and support but cannot guarantee specific outcomes, as final decisions rest with third parties (universities, embassies, etc.).
11. Force Majeure
11.1. Neither party shall be liable for failure to perform obligations due to force majeure circumstances, including but not limited to:
- Natural disasters, epidemics, or pandemics
- War, civil unrest, or acts of terrorism
- Government actions, changes in laws or regulations
- Strikes, lockouts, or labor disputes
- Failure of essential services (electricity, internet, etc.)
11.2. In case of force majeure, the affected party must notify the other party promptly, and the parties will work together to find a mutually acceptable solution.
12. Dispute Resolution
12.1. The parties agree to attempt to resolve any disputes arising from this Agreement through good-faith negotiations.
12.2. If a dispute cannot be resolved through negotiations within 30 days, either party may seek resolution through the courts of the Republic of Uzbekistan in accordance with applicable law.
12.3. This Agreement is governed by the laws of the Republic of Uzbekistan.
13. Agreement Term
13.1. This Agreement comes into effect upon acceptance by the Client (as defined in Section 1.3) and remains in effect until all obligations are fulfilled by both parties.
13.2. Either party may terminate this Agreement by providing written notice, subject to the refund policy outlined in Section 9.
13.3. The Company reserves the right to terminate this Agreement immediately if the Client breaches any material term, including providing false information or failing to make required payments.
14. Final Provisions
14.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations.
14.2. The Company reserves the right to amend this Agreement with 30 days' notice. Continued use of services after amendments take effect constitutes acceptance of the modified terms.
14.3. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14.4. The Client confirms that they have read, understood, and agree to be bound by all terms and conditions of this Agreement.
